These Terms of Service ("Terms") govern your access to and use of the website and services provided by Kingsbridge Capital LLC, the owner and operator of the QuotaBoost platform ("we," "our," or "us"). These Terms, together with our Privacy Policy, form a legal agreement between you and Kingsbridge Capital LLC. QuotaBoost is the business-to-business counterpart to our consumer-facing QuoteBooster service; these Terms govern the business side of that platform. By accessing or using our website and services (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.
PLEASE READ CAREFULLY. These Terms contain provisions that govern how disputes between you and Kingsbridge Capital LLC are resolved, including a binding arbitration agreement, a class action waiver, and a jury trial waiver. These provisions affect your legal rights. See the Dispute Resolution and Arbitration section below.
The Services are strictly for business-to-business use by insurance companies, insurance agencies, and licensed insurance agents. The Services are not intended for consumers, and we do not provide insurance advice, quotes, or recommendations to consumers.
Section 1
The Services include:
Section 2
You must be an insurance company, agency, or licensed insurance agent, and authorized to engage in business-to-business communications in the insurance industry. By using the Services, you represent and warrant that you hold, and will maintain in good standing, all licenses, appointments, and authorizations required to conduct insurance business in each jurisdiction in which you operate. If your license status changes, then it is your sole responsibility to alert us to any changes. By using the Services, you represent and warrant that you meet these eligibility requirements. Use by consumers or other unauthorized parties is strictly prohibited.
Section 3
You agree to:
Section 4
All content, trademarks, logos, software, and materials available on the Services are the property of Kingsbridge Capital LLC or its licensors. You may not copy, reproduce, or distribute any content without prior written permission, or use the Services in any manner that infringes on our intellectual property rights.
Section 5
In the course of using the Services, you may receive confidential business information belonging to Kingsbridge Capital LLC or to other users, as well as prospect, lead, and consumer information ("Prospect Data"). You agree to keep all such information confidential, to use it only for the legitimate business purpose for which it was provided through the Services, and to protect it using reasonable administrative, technical, and physical safeguards.
You are solely responsible for your handling of Prospect Data. You agree to collect, store, use, and disclose all Prospect Data in compliance with applicable privacy, data-protection, and consumer-protection laws, and only in a manner consistent with the consents obtained from the relevant consumer. You may not sell, rent, or otherwise transfer Prospect Data except as expressly permitted by these Terms and applicable law. Upon termination of your use of the Services, or upon our request, you will stop using and, at our option, return or securely destroy Prospect Data in your possession, except where retention is required by law.
Section 6
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE PROSPECT VOLUME, BUSINESS RESULTS, OR SUCCESS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Section 7
EXCEPT FOR YOUR LIABILITY FOR PAYMENT OF FEES, YOUR OBLIGATIONS UNDER THE INDEMNIFICATION SECTION, EITHER PARTY'S LIABILITY FOR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS, AND EITHER PARTY'S LIABILITY FOR BREACHES OF CONFIDENTIALITY, IN NO EVENT SHALL KINGSBRIDGE CAPITAL LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount paid by you to Kingsbridge Capital LLC in the ninety (90) days preceding the claim, or (b) one hundred U.S. dollars ($100.00).
Section 8
Section 9
If applicable, accounts must be created using accurate business information. Users are responsible for maintaining the confidentiality of login credentials and for all activity conducted through their accounts.
Section 10
Users may not:
Section 11
We may suspend or terminate access to the Services at any time, with or without notice, for violations of these Terms or other operational reasons. Users may terminate their account or use of the Services at any time by notifying us at [email protected]. Provisions that by their nature should survive termination — including Ownership of Intellectual Property, Confidentiality and Handling of Prospect Data, Disclaimers of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution and Arbitration — will survive any termination or expiration of these Terms.
Section 12
Kingsbridge Capital LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, government action, internet disruptions, or third-party service failures.
Section 13
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Except as otherwise provided in the Dispute Resolution and Arbitration section below, you and Kingsbridge Capital LLC consent to the exclusive personal jurisdiction of, and venue in, the state and federal courts located in Georgia for any dispute not subject to arbitration under these Terms.
Section 14
You agree to indemnify, defend, and hold harmless Kingsbridge Capital LLC, its affiliates, and its officers, employees, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights, including, without limitation, any claim arising from your calls, text messages, emails, or other communications to prospects, leads, or consumers; your violation of the TCPA, the Telemarketing Sales Rule, Do-Not-Call requirements, or any other telemarketing, calling, texting, or privacy law; or your collection, use, storage, or disclosure of Prospect Data.
Section 15
Informal Resolution. Before initiating any formal proceeding, you and Kingsbridge Capital LLC agree to attempt to resolve any dispute, claim, or controversy informally. The party seeking resolution must send written notice describing the claim and the relief sought. The parties will then have thirty (30) days from receipt of that notice (or a longer period if mutually agreed in writing) to resolve the dispute through good-faith negotiation. Completion of this informal process is a prerequisite to initiating arbitration, except that either party may at any time seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.
Binding Arbitration. If the parties do not resolve the dispute, claim, or controversy, including whether the claims asserted are arbitrable, within the period described above, either party may elect to have the dispute finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party is final and binding on the other. Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, except as modified by these Terms, before a single neutral arbitrator. The arbitration will be seated in Atlanta, Georgia, unless the parties agree otherwise in writing, and may proceed by telephone or video conference. The arbitrator will decide all claims in accordance with applicable law, may award any relief a court could award (limited to the individual party seeking relief), and will issue a final and binding award on which judgment may be entered in any court of competent jurisdiction. YOU AND KINGSBRIDGE CAPITAL LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO LITIGATE DISPUTES IN COURT, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS.
Class Action and Collective Proceeding Waiver. You and Kingsbridge Capital LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one party's claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will be severed and may proceed in court, while all remaining claims proceed in arbitration.
Survival. This Dispute Resolution and Arbitration section survives any termination or expiration of these Terms or your use of the Services.
Section 16
The Services are strictly B2B. We do not provide insurance quotes, advice, or services to consumers. Use by consumers is strictly prohibited.
Section 17
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of the Services after changes constitutes acceptance of the revised Terms.
Section 18
Relationship of the Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Kingsbridge Capital LLC, and neither party owes the other any fiduciary duty. Neither party may bind the other or make commitments on the other's behalf.
Entire Agreement. These Terms, together with our Privacy Policy and any separate written agreement between the parties, constitute the entire agreement regarding the Services and supersede all prior or contemporaneous understandings on that subject.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
