These Terms of Service ("Terms") govern your access to and use of the website and services provided by Kingsbridge Capital LLC, the owner and operator of the QuotaBoost platform ("we," "our," or "us"). By accessing or using our website and services (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

The Services are strictly for business-to-business use by insurance companies, insurance agencies, and licensed insurance agents. The Services are not intended for consumers, and we do not provide insurance advice, quotes, or recommendations to consumers.

SECTION 1

Description of Services

The Services include:

• Providing information to business users about partnership opportunities and operations

• Scheduling and coordinating calls between insurance companies and licensed agents

• Facilitating communications and operational coordination for prospect acquisition and related business purposes

SECTION 2

Eligibility

You must be an insurance company, agency, or licensed insurance agent, and authorized to engage in business-to-business communications in the insurance industry. By using the Services, you represent and warrant that you meet these eligibility requirements. Use by consumers or other unauthorized parties is strictly prohibited.

SECTION 3

User Obligations and Acceptable Use

You agree to:

• Provide accurate and current business information

• Use the Services solely for legitimate business purposes

• Comply with all applicable laws, rules, and regulations

• Refrain from interfering with, disrupting, or attempting to gain unauthorized access to our Services, systems, or networks

Ownership of Intellectual Property

All content, trademarks, logos, software, and materials available on the Services are the property of Kingsbridge Capital LLC or its licensors. You may not copy, reproduce, or distribute any content without prior written permission, or use the Services in any manner that infringes on our intellectual property rights.

Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE PROSPECT VOLUME, BUSINESS RESULTS, OR SUCCESS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECTION 6

Limitation of Liability

EXCEPT FOR YOUR LIABILITY FOR PAYMENT OF FEES, YOUR OBLIGATIONS UNDER THE INDEMNIFICATION SECTION, AND EITHER PARTY'S LIABILITY FOR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS, IN NO EVENT SHALL KINGSBRIDGE CAPITAL LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount paid by you to Kingsbridge Capital LLC in the ninety (90) days preceding the claim, or (b) one hundred U.S. dollars ($100.00).

SECTION 7

Call Scheduling and Recording

• Calls scheduled through the Services may be monitored or recorded for operational, quality assurance, training, or compliance purposes

• Recording will comply with applicable federal and state laws, including one-party or two-party consent requirements

• By scheduling a call through the Services, Users acknowledge and consent to call recording as described herein. Where two-party consent is required by applicable state law, explicit verbal or written confirmation will be obtained prior to recording

• Alternative communication methods may be offered if consent is not provided

7.1 SMS and Phone Communications

By providing a phone number through the Services, you consent to receive SMS/text messages and phone calls from Kingsbridge Capital LLC (QuotaBoost) related to your booking, including appointment reminders, confirmations, and follow-up communications, special offers, discounts and new product updates. Message and data rates may apply. Reply STOP to opt out of SMS at any time. Consent is not required as a condition of using the Services. You must be 18 years of age or older to use this SMS service. Carriers are not liable for delayed or undelivered messages.

SECTION 8

Payment Terms

The Services are provided without fees to eligible business users. Any future paid features will be governed by separate agreements.

SECTION 9

Account Creation and Usage

If applicable, accounts must be created using accurate business information. Users are responsible for maintaining the confidentiality of login credentials and for all activity conducted through their accounts.

SECTION 10

Prohibited Conduct

Users may not:

• Misuse the Services for unauthorized purposes

• Attempt to access or extract data from the platform without permission

• Engage in scraping, automation, or interference with other users' access

• Violate any applicable law or regulation while using the Services

SECTION 11

Termination

We may suspend or terminate access to the Services at any time, with or without notice, for violations of these Terms or other operational reasons. Users may terminate their account or use of the Services at any time by notifying us at [email protected].

SECTION 12

Force Majeure

Kingsbridge Capital LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, government action, internet disruptions, or third-party service failures.

SECTION 13

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

SECTION 14

Indemnification

You agree to indemnify, defend, and hold harmless Kingsbridge Capital LLC, its affiliates, and its officers, employees, and agents from any claims, damages, liabilities, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

SECTION 15

Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If resolution cannot be reached, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, held in Atlanta, Georgia, unless otherwise mutually agreed. You agree to resolve disputes with Kingsbridge Capital LLC on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Kingsbridge Capital LLC.

SECTION 16

No Consumer Services

The Services are strictly B2B. We do not provide insurance quotes, advice, or services to consumers. Use by consumers is strictly prohibited.

SECTION 17

Modification of Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of the Services after changes constitutes acceptance of the revised Terms.
